Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and Enzonic LLC, a Kentucky limited liability company ("Enzonic", "we", "us", or "our"), and govern your access to and use of Enzonic Drive and any related websites, applications, APIs, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be at least 13 years old to use the Service, and at least the age of majority in your jurisdiction to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for all activity that occurs under your account and for safeguarding your credentials.
2. The Service
Enzonic Drive provides cloud-based file storage, sharing, collaboration, search, version history, and related features. We may add, modify, suspend, or discontinue features at any time. We will use commercially reasonable efforts to give advance notice of material changes that adversely affect you.
3. Your Content
You retain all rights, title, and interest in and to the files, data, text, images, and other materials you upload, store, generate, or share through the Service ("Your Content"). You grant Enzonic a worldwide, non-exclusive, royalty-free license to host, store, transmit, back up, encrypt, display, and create derivative works of Your Content solely as necessary to operate, secure, and improve the Service and to provide it to you and people you share with.
You are solely responsible for Your Content and for ensuring you have all rights necessary to upload and share it. You must not upload content that infringes intellectual property rights, violates applicable law, or breaches our Acceptable Use Policy.
4. Storage Quota
The Service provides 24 GB of storage per user account, shared across all Enzonic products (including Enzonic Mail and any other apps that draw from the same quota). When you approach or exceed your quota, you may be unable to upload new files until you remove existing ones. We may change the default quota at any time.
5. Sharing and Links
The Service lets you create share links with configurable controls (view, download, print, and copy). You are responsible for how, with whom, and on what terms you share files. Enzonic is not responsible for the actions of recipients who obtain access through your links.
6. Fees
As of the effective date, the Service is offered free of charge. We may introduce paid plans or features in the future. We will give you reasonable notice before charging you for anything you previously received for free.
7. Termination
You may stop using the Service at any time and delete your account by contacting [email protected]. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or applicable law, or to protect the Service or other users. Upon termination, your right to access the Service ends; we may delete Your Content after a reasonable grace period.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED " AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. ENZONIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF CRITICAL DATA.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ENZONIC OR ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ENZONIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ENZONIC'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100), OR THE AMOUNT YOU PAID ENZONIC IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.
10. Indemnification
You will defend, indemnify, and hold harmless Enzonic and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to Your Content, your use of the Service, or your violation of these Terms or applicable law.
11. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles. You and Enzonic agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Jefferson County, Kentucky, and you consent to the personal jurisdiction of those courts.
12. Changes
We may update these Terms from time to time. If changes are material, we will notify you by email or through the Service. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.
